Merchant Terms and Conditions

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS

These Terms and Conditions ("terms") constitute the Agreement between Aflite (a service provided and maintained by Arclid.com Ltd 506 Building 1, Cheshire, CW2 5PR England) and Merchant and governs the Merchant's participiation in the Service. By clicking "I agree to the Aflite Terms and Conditions" you indicate acceptance to these terms.

DEFINITIONS

The following definitions apply to these terms and conditions:

1. Application

1.1 Joining Aflite as a Merchant starts by the Merchant completing and submiting the Merchant Application form. All required fields of the application must be entered correctly by the Affiliate to be considered by Aflite.

1.2 Merchant Applications may be rejected for any reason deemed sufficient by Aflite. Including but not restricted to not meeting Aflite’s expected quality.

1.3 Successful application does not guarantee the success of a Merchant's program and does not make guarantee to Affiliate participation.

2. Merchant Agreement

2.1 Merchants must agree to:

a) Maintain correct links and information about there products and services;

b) Not mislead Visitors into clicking or achieving a Goal by deception;

c) Not encourage or facilitate fraudulent clicks or Goal determinations;

d) Tamper with the tracking process;

e) Not decline bona fide commission that meets the conditions of the Goal;

f) Not, nor assist third parties in attempting to solicit Merchants;

g) Not send unsolicited email messages;

h) Ensure their details held by Aflite are correct and will notify Aflite of any changes in circumstance that could impact their elligibility to participate as an Affiliate.

i) Ensure all tracking code is installed correctly and is called each time a goal is completed

j) Ensure any values and varriables passed to tracking code are correct

3.1 The Merchant agrees that if their credit balance falls below the Credit Warning Level affiliate tracking links may forward visitors to other websites including but not limited to competitors of the Merchant

3. Payments & Refunds

3.1 Credits applied to the Merchant account are subject to a processing charge. Details of the charge are given on the payment pages.

3.2 Credits may be refunded upon request to Aflite excluding:

a) processing charge;

d) credits within the Credit Warning Level.

4. Representations and Warranties

4.1 The Merchant represents and warrants that:

a) it has the authority to enter into this agreement;

b) the Merchant is in compliance with all applicable laws, rules and regulations;

d) any information displayed on their website is correct and not misleading.

4.2 the Merchant indemnifies Aflite from any losses, claims, liabilities, suits and expenses arising from their participation.

5. Limitation of Liability

5.1 The service provided by Aflite is provided “as is” to the fullest extent permissible pursuant to applicable law. Aflite disclaims all warranties expressed or implied, including but not limited to, Service quality and fitness for purpose.

5.2 Aflite shall not be liable for any loss incured by the Merchant including but not limited to, loss of profits, goods, contracts or data.

6. Reservation

6.1 Aflite may add, change or discontinue any part of it’s Service.

6.2 Aflite reserves the right in the future to introduce or alter fees to any part of it’s Service giving 14 days notice prior to affect.

7. Termination

7.1 Either party can terminate this agreement for any reason at any time, without predjudice to any rights accrued under this agreement.

7.2 On termination of the Agreement:

a) Rights and liabilities will not be affected;

c) The mechant shall no longer receive traffic through Affiliate tracking links

9. Notices

Any notices given under this agreement shall be sent:

a) To Aflite: 506 Building 1, Radway Green, Crewe, Cheshire CW2 5PR

b) To Merchant: Provided contact details entered into application

10. General

10.1 This Agreement is between the Merchant and Aflite and shall not be reassigned or transferred to to any third party without written consent by Aflite.

10.2 Both parties have no liability under this agreement if it is prevented, or delayed in performing it obligations under this agreement. Including but not limited to strikes, industrial disputes, failure of utility or transport service, act of god, war, riot, malicious damage, fire, failure of suppliers or subcontractors.

10.3 This Agreementconstitutes the entire agreement betweens both parties and supersedes all previous agreements, excluding that held between the Merchant and Arclid.com Ltd.

10.4 Nothing in this agreement pertains partnership or joint venture of any kind between the Affiliate, Aflite and Merchant. No party has the authority to act on behalf of the other parties in any way.

10.5 No person whom is not party to this Agreement has any rights under or in connection with it by virtue of the Contract Act 1999.

10.6 Any dispute or claim arising from this agreement shall be governed by the law of England and Wales.
